Oracle Announces Sun Microsystems Acquisition

On April 20, Oracle announced it had entered into an agreement to acquire Sun Microsystems (Sun). The proposed transaction is subject to approval by Sun Shareholders, certain regulatory matters, and the usual closing conditions of the transaction. Until the transaction is closed, each of the companies will continue to operate independently, as usual.
The acquisition combines best-in-class enterprise software and mission-critical computing systems. Oracle plans to develop and deliver a complete integrated software system, where all the elements are arranged to work together so that customers do not have to do it themselves. In addition, it will be beneficial to customers due to higher system integration and increased productivity, reliability and security.
Oracle and Sun Microsystems signed a final agreement on April 20, under which Oracle will acquire Sun at $ 9.50 per share. The total transaction amount is estimated at about $ 7.4 billion, or $ 5.6 billion, net of Sun's debt payments.
